Terms of Service

Effective May 18, 2026

1. Acceptance of Terms

By accessing or using the Layer8 Systems platform — including NetMapr, AssetTrakr, and NoteTakr (collectively, the “Service”) — you agree to be bound by these Terms of Service (“Terms”) and our Privacy Policy. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

Layer8 Systems provides a web-based infrastructure management platform that includes:

  • NetMapr — visual network topology mapping and documentation.
  • AssetTrakr — hardware and software asset lifecycle management.
  • NoteTakr — encrypted runbooks, device configurations, and infrastructure notes.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Accounts

  • You must be at least 16 years old to create an account.
  • You are responsible for maintaining the confidentiality of your credentials.
  • You are responsible for all activity that occurs under your account, including the actions of members you invite to your organization.
  • You must notify us immediately at legal@layer8systems.ca if you suspect unauthorized access to your account.
  • One person or legal entity may not maintain more than one free account. Automated account creation is prohibited.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable Canadian federal or provincial law or regulation, including PIPEDA, anti-spam legislation (Canada’s Anti-Spam Legislation / CASL), and applicable export control laws.
  • Transmit malware, viruses, or any code designed to disrupt, damage, or gain unauthorized access to any system.
  • Scrape, crawl, or systematically download data from the Service without prior written consent.
  • Attempt to gain unauthorized access to any part of the Service, other users’ accounts, or our infrastructure.
  • Infringe on the intellectual property rights of Layer8 Systems or any third party.
  • Impersonate any person or entity or misrepresent your affiliation.
  • Use the Service to store or transmit unlawful, defamatory, obscene, or harmful content.
  • Resell, sublicense, or provide access to the Service as a white-label product without written permission.

We reserve the right to suspend or terminate accounts that violate these policies without notice.

5. Your Content

You retain ownership of all network maps, asset records, notes, and other content you create or upload (“Your Content”). By using the Service you grant Layer8 Systems a limited, non-exclusive, royalty-free licence to host, store, process, and display Your Content solely to provide the Service to you.

You are solely responsible for Your Content, including:

  • Ensuring you have the right to store it in the Service (e.g., IP addresses, hostnames, third-party credentials).
  • Complying with PIPEDA and applicable provincial privacy legislation regarding any personal information stored.
  • Any consequences of making content public or sharing it via links.

6. Billing and Payment

Paid subscription plans are billed in advance on a monthly or annual basis. All fees are in Canadian dollars (CAD) and are non-refundable except where required by applicable Canadian consumer protection legislation or at our sole discretion.

  • Payments are processed by Polar. By subscribing you also agree to Polar’s terms of service.
  • Prices may change with at least 30 days’ notice. Continued use after the effective date constitutes acceptance.
  • If payment fails, we will attempt to collect for up to 14 days before suspending access.
  • You may cancel your subscription at any time. Access continues until the end of the current billing period.

7. Free Tier and Early Access

We may offer a free tier or early-access period. We reserve the right to modify, reduce, or discontinue free-tier features at any time with reasonable notice. Data created during a free or trial period remains yours and can be exported before downgrade.

8. Intellectual Property

The Service — including its code, design, trademarks, and documentation — is owned by Layer8 Systems Inc. and protected by Canadian and international intellectual property laws. These Terms do not grant you any right to use our name, logo, or trademarks without prior written consent.

We welcome feedback. Any suggestions or ideas you submit may be used by us without obligation or compensation to you.

9. Availability and Uptime

We aim for high availability but do not guarantee uninterrupted access to the Service. Scheduled maintenance will be announced in advance where possible. We are not liable for downtime caused by circumstances beyond our reasonable control (force majeure, third-party provider outages, etc.).

10. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, SECURE, OR CONTINUOUSLY AVAILABLE.

Nothing in these Terms limits or excludes any rights you may have under applicable Canadian consumer protection legislation that cannot be waived by contract.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE CANADIAN LAW, LAYER8 SYSTEMS INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE USE OR INABILITY TO USE THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR AGGREGATE LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED CANADIAN DOLLARS (CAD $100).

Nothing in this section limits liability for death, personal injury, or fraud caused by our negligence or wilful misconduct.

12. Indemnification

You agree to indemnify and hold harmless Layer8 Systems Inc. and its affiliates from any claims, damages, losses, liabilities, and costs (including reasonable legal fees) arising out of your use of the Service, Your Content, or your violation of these Terms.

13. Termination

Either party may terminate at any time. We may suspend or terminate your account immediately for material violations of these Terms or for non-payment. Upon termination:

  • Your right to access the Service ceases immediately.
  • You may export Your Content for 30 days post-termination by contacting support.
  • Sections 5, 8, 10, 11, 12, 14, and 15 survive termination.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. You agree that any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of the Province of Ontario.

Before commencing any legal proceeding, both parties agree to attempt to resolve disputes informally by contacting legal@layer8systems.ca and negotiating in good faith for at least 30 days.

Nothing in this section prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction. Where applicable provincial consumer protection legislation (including Quebec’s Consumer Protection Act) provides you with additional rights, those rights are not affected by these Terms.

15. Changes to These Terms

We may update these Terms at any time. Material changes will be communicated by email or prominent in-product notice at least 14 days before they take effect. Continued use after the effective date constitutes acceptance. If you do not accept the revised Terms, you must stop using the Service before the effective date.

16. Language

These Terms are written in English. At the request of a party, a French version may be provided. In the event of any conflict between the English and French versions, the English version shall prevail, except where prohibited by Quebec law.
